By creating an account or using Theora Portfolio OS (the "Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service.
The Service provides portfolio analytics, risk metrics, and related tools for informational purposes. The Service is not a broker-dealer, investment adviser, custodian, or exchange.
All content, metrics, and analytics provided by the Service — including but not limited to risk scores, factor exposures, scenario replays, simulations, portfolio optimizations, suggested or "optimal" weights, rebalance targets, and tax-loss-harvesting estimates — are for informational and educational purposes only and do not constitute investment, financial, tax, or legal advice, and are not a personal recommendation to buy, sell, or hold any security or to adopt any strategy. Any optimization, suggested weighting, or rebalance target the Service displays is a hypothetical, illustrative output of a model applied to the data you entered; it is not tailored to your personal financial circumstances, objectives, or risk tolerance, and any decision to act on it is yours alone.
Tax-related figures — including estimated gains, tax drag, and tax-loss-harvesting suggestions — are illustrative estimates only, are not tax advice, and do not account for your full tax situation. Consult a qualified tax professional before acting on them.
Forward-looking outputs — including Monte Carlo simulations, projection cones, probability-of- success or goal-attainment figures, stress-test and scenario results, and any comparison between portfolios (including hypothetical portfolios you construct) — are model outputs based on assumptions and historical data, not predictions, guarantees, or promises of any outcome. A stated probability is a property of the model, not of the world; actual results will differ, and may differ substantially and unfavourably.
Past performance and simulated or backtested results do not guarantee future outcomes. You are solely responsible for your own investment decisions. Consult a licensed professional before acting on anything the Service shows you.
The Service can evaluate rules you configure and notify you in-app or by email. These are a convenience feature, not a monitoring, supervisory, or custodial service, and you must not rely on them as a sole trigger for any financial decision.
We do not guarantee that any alert will be evaluated, delivered, or delivered on time. Alerts depend on scheduled batch processing and on third-party market data and email delivery, any of which may be delayed, incomplete, or unavailable. A missed, late, duplicated, or erroneous alert — or an alert that does not fire at all — is within the "AS IS" disclaimer and liability limitation below.
Prices, fundamentals, reference data, ETF constituent look-through, macroeconomic series, and similar inputs are obtained from third-party sources. We do not originate this data, cannot guarantee its accuracy, completeness, or timeliness, and are not responsible for third-party errors, delays, or outages. Data may be delayed, stale, adjusted, restated, or missing, and every analytic the Service derives from it inherits those limitations.
You must provide accurate registration information and are responsible for maintaining the confidentiality of your password and for all activity under your account. Notify us immediately of any unauthorized use.
The free tier is supported by advertising. By using the free tier, you agree to the display of ads as described in our [Privacy Policy]. You may see fewer or no ads if you decline non-essential cookies, consistent with the consent choice presented on first visit.
You may not: use the Service to violate any law; attempt to gain unauthorized access to any account or system; or reverse-engineer or scrape the Service beyond normal use.
The Service, its analytics methodology, and its content (excluding your own portfolio data) are owned by us and protected by applicable intellectual property law. You retain ownership of the portfolio data you input.
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING INVESTMENT LOSSES, ARISING FROM YOUR USE OF THE SERVICE.
We may suspend or terminate your account for violation of these Terms. You may stop using the Service and delete your account at any time.
We may update these Terms from time to time. Material changes will be notified via the Service or email at least 14 days before taking effect.
These Terms are governed by the laws of the State of California without regard to conflict-of-law principles.
